1. Acceptance of These Terms

These Terms of Service (the “Terms”) govern your access to and use of the websites, software, mobile applications, APIs, messaging tools, billing tools, customer management tools, and related services provided by Okason Software, Inc. (“Okason,” “we,” “us,” or “our”).

By creating an account, accessing the Service, or using any part of the Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Service.

2. Description of the Service

Okason provides software tools for small businesses and service-based businesses to manage operations such as customer records, estimates, invoices, payments, scheduling, reminders, communications, and related business workflows.

Certain features may allow users to send email, SMS, or other messages to their customers. You are responsible for ensuring that your use of these communication features complies with applicable laws, regulations, carrier rules, and platform policies.

3. Eligibility

You must be at least 18 years old and legally able to enter into a binding contract to use the Service. If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms.

4. Accounts and Security

You may need to create an account to use the Service. You agree to provide accurate, complete, and current information during registration and to keep your account information up to date.

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us promptly if you believe your account has been compromised or used without authorization.

5. Customer Data

“Customer Data” means information, content, records, files, messages, business data, customer contact information, invoices, estimates, payment records, and other materials submitted to or processed through the Service by you or on your behalf.

You retain ownership of your Customer Data. By using the Service, you grant Okason a limited right to host, process, transmit, display, and use Customer Data as necessary to provide, maintain, secure, support, and improve the Service.

You are responsible for the accuracy, legality, and appropriateness of your Customer Data and for obtaining any rights, permissions, or consents required to submit or use Customer Data through the Service.

If you use Okason to send SMS, email, or other communications to your customers, you are responsible for ensuring that each recipient has provided any required consent to receive those messages.

You agree that you will not use the Service to send messages to recipients who have not consented, who have opted out, or where messaging would violate applicable law, including laws and rules related to telemarketing, mobile messaging, email marketing, privacy, and consumer protection.

SMS messages may include appointment reminders, estimate notifications, invoice notifications, payment reminders, job updates, customer support replies, and other service-related communications.

Message frequency may vary depending on your use of the Service and your customers’ interactions with your business. Message and data rates may apply. Recipients may opt out of SMS messages by replying STOP, and may request help by replying HELP, where supported.

You agree not to disable, bypass, interfere with, or ignore opt-out mechanisms provided by Okason, Twilio, carriers, or other messaging providers.

SMS Terms: By providing your mobile phone number and consenting to receive text messages, you agree to receive service-related SMS messages from businesses using Okason. Message frequency varies. Message and data rates may apply. Reply STOP to opt out. Reply HELP for help.

7. Messaging Compliance and Prohibited Messaging

You are solely responsible for the content of messages sent through your account and for compliance with all applicable messaging rules, including carrier requirements, sender registration requirements, opt-in requirements, opt-out requirements, and acceptable use requirements.

You may not use the Service to send messages that are unlawful, deceptive, harmful, abusive, harassing, fraudulent, misleading, or otherwise inappropriate. You may not send spam, unsolicited marketing, illegal content, prohibited financial offers, regulated goods or services without authorization, or any content prohibited by our third-party providers.

We may suspend or restrict messaging features if we believe your use violates these Terms, applicable law, carrier rules, provider policies, or creates risk to Okason, our providers, other users, or recipients.

8. Third-Party Services

The Service may integrate with or rely on third-party services, including payment processors, messaging providers, email providers, hosting providers, analytics providers, app stores, and other business tools.

Your use of third-party services may be subject to separate terms, policies, fees, and requirements from those providers. Okason is not responsible for the acts, omissions, availability, performance, security, or policies of third-party services.

9. Payments, Subscriptions, and Billing

Some parts of the Service may require payment. By selecting a paid plan, you agree to pay all applicable fees, taxes, and charges associated with your account.

Subscription fees may be billed in advance on a recurring basis unless otherwise stated. You authorize us or our payment processor to charge your selected payment method for applicable fees.

Unless otherwise stated, fees are non-refundable except where required by law or expressly provided in a separate written agreement.

We may change pricing, plans, or billing terms from time to time. We will provide notice of material pricing changes as required by law or as otherwise appropriate.

10. Cancellations and Downgrades

You may cancel or downgrade your subscription according to the procedures made available in the Service. Cancellation or downgrade may take effect at the end of the current billing period unless otherwise stated.

After cancellation, your access to paid features may end, and certain data may be retained or deleted according to our Privacy Policy, data retention practices, and applicable law.

11. Acceptable Use

You agree not to use the Service to:

  • Violate any law, regulation, court order, or third-party right.
  • Send spam, unsolicited messages, or messages without required consent.
  • Upload or transmit viruses, malware, or harmful code.
  • Attempt to gain unauthorized access to the Service or related systems.
  • Interfere with the security, integrity, performance, or availability of the Service.
  • Reverse engineer, decompile, or attempt to extract source code except where allowed by law.
  • Misrepresent your identity, business, products, services, or message purpose.
  • Use the Service for fraudulent, deceptive, abusive, or harmful activities.
  • Resell, sublicense, or commercially exploit the Service except as expressly permitted by us.

12. User Content and Feedback

You may provide content, comments, suggestions, ideas, or feedback about the Service. You retain ownership of your content, but you grant Okason a license to use feedback and suggestions without restriction or compensation for the purpose of improving, developing, marketing, and operating the Service.

You represent that you have the necessary rights to submit any content or feedback you provide to us.

13. Intellectual Property

The Service, including software, designs, text, graphics, logos, workflows, user interfaces, documentation, and other materials, is owned by Okason or its licensors and is protected by intellectual property laws.

Except for the limited right to use the Service under these Terms, no rights are granted to you in Okason’s intellectual property.

You may not copy, modify, distribute, sell, lease, or create derivative works based on the Service unless expressly authorized by us in writing.

14. Privacy

Your use of the Service is also governed by our Privacy Policy. The Privacy Policy explains how we collect, use, disclose, and protect personal information.

By using the Service, you agree that we may process personal information as described in the Privacy Policy.

15. Confidentiality

If either party receives confidential information from the other party, the receiving party agrees to use reasonable care to protect that information and to use it only for purposes related to the Service, unless disclosure is required by law.

Confidential information does not include information that is publicly available, already known without restriction, independently developed, or lawfully received from a third party.

16. Service Availability and Changes

We work to keep the Service available and reliable, but we do not guarantee uninterrupted or error-free operation. The Service may be unavailable due to maintenance, updates, outages, third-party failures, security issues, or events beyond our control.

We may modify, suspend, discontinue, or limit access to any part of the Service at any time. We will make reasonable efforts to provide notice of material changes when appropriate.

17. Beta Features

We may offer beta, experimental, preview, or early-access features. These features may be incomplete, unstable, or changed without notice. Beta features are provided “as is” and may be subject to additional terms.

18. Suspension and Termination

We may suspend or terminate your access to the Service if we believe that you have violated these Terms, failed to pay fees, created legal or security risk, violated third-party provider requirements, or used the Service in a way that may harm Okason, other users, recipients, providers, or the public.

You may stop using the Service at any time. Certain provisions of these Terms will survive termination, including provisions related to payments, intellectual property, confidentiality, disclaimers, limitation of liability, indemnification, and dispute resolution.

19. Disclaimers

The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, Okason disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Service will be uninterrupted, secure, error-free, or that results obtained through the Service will be accurate, reliable, or suitable for your specific business needs.

20. Limitation of Liability

To the fullest extent permitted by law, Okason and its officers, directors, employees, contractors, affiliates, licensors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, loss of goodwill, business interruption, or other intangible losses.

To the fullest extent permitted by law, Okason’s total liability for any claim arising out of or relating to the Service or these Terms will not exceed the amount you paid to Okason for the Service during the twelve months before the event giving rise to the claim, or one hundred U.S. dollars ($100), whichever is greater.

Some jurisdictions do not allow certain limitations of liability, so some of these limitations may not apply to you.

21. Indemnification

You agree to defend, indemnify, and hold harmless Okason and its officers, directors, employees, contractors, affiliates, licensors, and service providers from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

  • Your use of the Service.
  • Your Customer Data or message content.
  • Your violation of these Terms.
  • Your violation of applicable law or third-party rights.
  • Your failure to obtain required consent for communications.
  • Your use of third-party services through or in connection with the Service.

22. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles, unless otherwise required by applicable law.

23. Dispute Resolution

Before filing a claim, you agree to contact us and attempt to resolve the dispute informally. You may contact us at support@okason.com.

If a dispute cannot be resolved informally, the parties agree to resolve disputes in the state or federal courts located in San Diego County, California, unless another forum is required by applicable law or agreed in writing.

24. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will provide notice by updating the effective date, posting the revised Terms, or using another reasonable method of notice.

Your continued use of the Service after the updated Terms become effective means you accept the updated Terms.
